Terms and Conditions for Autel Onsite Training Academy Courses
The following constitute the terms and conditions which will govern and to which applicants agree when booking any Autel onsite training programs at the Autel Academy (these “Terms”). If you are agreeing to these Terms not as an individual but on behalf of your company or other legal entity then, “Customer” or “you” or “your” shall refer to such entity and its affiliates, and you represent that you have the authority to bind such entity and its affiliates to these Terms and you acknowledge and agree that you are binding such entity to these Terms. Autel and you shall sometimes each be referred to as a “Party” and together as the “Parties” in this Agreement. If you do not have authority to bind such entity, or if you do not agree with these Terms, do not proceed to book any onsite training program. You understand and agree that you are not authorized and may not use the documentation, whether printed or online, provided by Autel in relation with the onsite training programs (“Training Materials”). Autel reserves the right periodically to review and update these Terms at its sole discretion.
BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OR BY EXECUTING AN ORDER FORM THAT REFERENCES THIS AGREEMENT, OR BY USING OR ACCESSING AUTEL TRAINING MATERIAL, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
BOOKING YOUR SEAT
Onsite training courses can be booked via the registration form available on the Autel website here. On submission of your onsite training booking form, you will receive an automated summary email confirming receipt of your booking order and course selection. Finalization of the booking process will only occur upon payment for the training course.
PAYMENT
Payment for an onsite training course can be made on the Autel US website utilizing an Autel Training Academy Card purchased from an authorized dealer or payment may be directly utilizing any nationally recognized credit card or debit card. To minimize the possibility of unauthorized access, the details of your credit card will be encrypted. By clicking on the “Authorize Payment” button, you are confirming that the credit card is yours. Cards are subject to validation checks and authorization by your Card issuer.
Please note that if you do not provide accurate details (including type of card and number) or if your credit card company does not authorize payment, your training course order will be deemed void. Autel will not accept any liability for costs incurred as a result of orders deemed void in this manner.Sales taxes, if any, are charged at the applicable rate depending on the product and/or customer.
CHANGE, CANCELLATION, AND TRANSFER
We understand that your plans may change. If you must change, cancel, or transfer your enrollment “seating” in an onsite class, you must notify Autel via email at: academy@autel.com. We will make our best attempt to accommodate all change and refund requests.
Autel reserves the right to refuse the issuance of alternative classroom seating, changes, cancelations, or transfers if you fail to submit any request within the applicable prior notice listed below, or fail to attend the course on which you are booked.
CHANGE REQUEST POLICY
Change requests submitted 24 hours before a scheduled training class date can be rescheduled for any available future training class of the same curriculum, at the same location, and for the same individual who had registered originally.
Change requests submitted less than 24 hours before a scheduled training class date will not be made or honored, and that ticket or Autel Academy card and promo code will have no remaining value.
WEBSITE PAYMENT REFUND REQUEST POLICY
Refund requests for payments made via the autel.com/us website submitted 72 hours before a scheduled training class date will be honored and processed. Refunds will be issued by crediting the payment method utilized by you.
Refund requests for payments made via the autel.com/us website submitted less than 72 hours before a scheduled training class date will not be processed, and that ticket or Autel Academy card and promo code will have no remaining value.
ACADEMY CARD REFUND REQUESTS
Autel is not responsible for Autel Academy rebate card sales or refunds. All Autel Academy card refund requests must be submitted to the authorized Autel dealer where the Academy card was acquired or purchased.
TRANSFER POLICY
If you wish to transfer class “seating” to another individual and any applicable hotel reservation(s), you must notify Autel no later than 7 days prior to the course start date.
Any transfer requests made less than 7 days before the course start date will not be honored.
CANCELLATION BY AUTEL
Autel reserves the right to cancel any training course due to insufficient enrollment by providing notice to you at least 7 calendar days prior to class start date. In the event of cancellation by Autel, you will receive the opportunity to secure “seating” at a future class or request a refund. Autel will not be responsible for non-refundable travel tickets purchased or lodging reservations made by you.
If a training class is cancelled by Autel due to any Force Majeure Event (that is, any unforeseen event which is beyond the reasonable control of Autel, neither party shall be liable to the other for any delay or failure to perform any obligation under these Terms (except for a failure to pay fees). Autel will offer the customer the opportunity to secure “seating” at a future class.
OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
All Training Materials provided or made available by Autel in connection with the onsite training is owned by Autel. Autel owns, retains all rights in and does not grant any intellectual property rights in the Training Materials, including any design, graphics, text of all printed materials and all audio and/or video recordings of all webinars and podcasts. When you are given access to the Training Materials, you are granted a non-exclusive, non-transferable, revocable license to use the Training Materials. Training Materials may be copied, reproduced, uploaded, posted, displayed, or linked to in any way, in whole or in part, without Autel’s prior permission. Any such use is strictly prohibited and will constitute an infringement of Autel’s intellectual property rights.To provide a continuous check on the consistency and quality of training delivery, all students will receive a follow-up email at the end of each class asking to submit feedback in the form of a satisfaction survey. The results of the satisfaction survey will be reviewed by Autel and will be used to make continuous improvements to class content and delivery.
YOUR OBLIGATIONS
Throughout attendance at the onsite training facility, you agree to comply with all health and safety rules and regulations and any other reasonable security requirements that apply at the onsite training facility. Autel reserves the right to remove any participant at an onsite training course whose behavior Autel or its trainers deems inappropriate or disruptive. A participant will not be entitled to receive any refund of fees or reimbursement any other costs, If such participant is required to leave a training program because of such inappropriate or disruptive conduct.
LIMITATION OF LIABILITY
Autel disclaims any responsibility or liability for conduct of, or views expressed by, any participant at a training program or at the training site. Except with respect to the content of the written Training Materials, any views expressed by a trainer during a training program regarding the Training Materials and their application are those of the trainer and do not necessarily represent the views of Autel.
Further, in no event will Autel be liable to you for any consequential, incidental, indirect, exemplary, special or punitive damages whatsoever (including damages for loss of use, revenue or profit, business interruption and loss of information), whether arising out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damage was foreseeable and whether or not Autel has been advised of the possibility of such damages. In no event shall Autel be liable to any participant for any amount greater than the onsite training fee.
WARRANTY AND DISCLAIMER
The training services will be performed as described in the individual class agendas. Autel shall provide such trainers to present the training course as it, in its sole discretion, deems fit and Autel shall be entitled at any time to substitute any trainer with any other person who, in Autel’s sole discretion, it deems suitably qualified to present the relevant course.
INDEMNIFICATION
Both Parties agree to defend, indemnify, and hold harmless the other Party and its directors, officers, and employees from and against any demands, damages or liabilities including reasonable attorney’s fees) arising from a third-party claim that the indemnifying Party caused bodily injury (including death) or damaged real or tangible personal property.
MISCELLANEOUS
Law and Jurisdiction: Any disputes arising out of or relating to these Terms, use of the site, the products or services sold on the site, and the services offered via the site shall be resolved in accordance with the laws of state of New York, without regard to its conflict of law rules.
Dispute resolution: Arbitration. YOU AND AUTEL AGREE THAT ALL CLAIMS OR DISPUTES CONCERNING OR ARISING OUT OF THESE TERMS AND/OR THE SERVICES SHALL PROCEED SOLELY ON AN INDIVIDUAL, NOT CLASS ACTION OR REPRESENTATIVE BASIS, IN BINDING ARBITRATION BEFORE AND SUBJECT TO THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION.
Entire Agreement and severability. This Agreement is the entire agreement between you and Autel relating to the onsite training program and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the training or any other subject matter covered by these Terms.
You and any participant at an onsite training program grants to Autel, without the right to receive any compensation, the limited right to use images of their participation in the Autel Training Academy training class in connection with the marketing of the Autel Academy.
